Companies Act 2006: changes taking effect on 1 October 2008

The next key date in the phased implementation of the Companies Act 2006 is 1 October 2008.   The sections which will come into force on that date are listed below.  In our next bulletins, we will look at these in more detail. 

Which sections will come into force on 1 October 2008?

Part 5: Objection to company's registered name (sections 69-74)

Part 5: Trading disclosures (sections 82-85)

Part 10: Requirement for at least one director who is a natural person and rules on
under-age directors (sections 155-159)

Part 10: Register of directors (sections 162-169)

Part 10: Directors' conflict of interest duties and declarations by directors of interests in existing transactions or arrangements (sections 175-177, 180(1),
(2) (part) & 4(b), 181(2) & (3) & 182-187)

Part 14: Control of political donations and expenditure relating to independent election candidates (sections 362-379)

Part 17: Private companies: reduction of capital supported by solvency statement (sections 641(1)(a) & (2)-(6), 642-644, 652(1) and (3) & 654)

Part 18: Repeal of the restrictions under the Companies Act 1985 on financial assistance for acquisition of shares in private companies, including the "whitewash" procedure (sections 658-737)

Part 37: Power of court to grant relief to officers and auditors (section 1157)

Part 44: Power of Treasury or Secretary of State to make regulations about providing information on the exercise of voting rights by certain institutions
(sections 1277-1280)

Additionally, various miscellaneous sections, principally definitions and relevant offences, will come into force so far as is necessary for the sections listed above.  So will several related statutory instruments.
