Richard Barham is a partner in the Corporate department of the firm's London office with particular experience in mergers and acquisitions (both public and private), joint ventures and privatisations. He also advises regularly on establishing and reorganising companies and businesses (including debt-equity swaps), public and private securities issues, other commercial agreements and associated regulatory issues.

A large proportion of the transactions on which Richard has advised have been in the transportation sector (rail, road and air – including a three-year period working on the UK rail privatisation) and the financial sector (such as leasing business acquisitions, banking joint ventures and internal reorganisations and credit card schemes). Most of the transactions in which he has been involved have been international and, in particular, he has acted on investments in the US and Africa, and advised US businesses on inward investment into the UK and Europe. He also advises public sector clients, including the UK Government.

Richard heads our CIS task force, working with heads of our Moscow, Almaty and Tashkent offices to co-ordinate our CIS work.

His recent experience includes:

  • Barnes Group: Advising on the US$41 million acquisition of the Kent division of Premier Farnell, involving the acquisition of companies and businesses across nine EU jurisdictions.
  • Bay Restaurant Group: Advising on its restructuring.
  • Blistex: Acting on its acquisition of Fresh Breath Limited, the owner of the Dentyl pH mouthwash brand.
  • Department for Culture, Media and Sport: Acting on London's successful bid for the 2012 Olympics, and advising on the establishment of both the bid company and the operating company for the Games.
  • Financial Services Compensation Scheme: Advising on the payment of compensation to IceSave depositors following the collapse of Landsbanki.
  • GE Money: Advising on the disposal of its student loans business to Link Financial Services Limited.
  • Ghana International Bank: Advising on arrangements for the issue of debit and prepaid cards.
  • HSBC: Advising on the solvent restructuring of the Jessops Group.
  • Houghton Mifflin/Kingfisher: Advising on the disposal of Kingfisher's children's publishing business to Macmillan.
  • Manchester City: Recommended take-over offer by UK Sports Investments Limited, enterprise value of £81.6 million.
  • Marks & Spencer Financial Services: Advising on contractual joint venture with BISL Limited to provide car insurance.
  • Ministry of Defence: Advising on the privatisation of the Rotary Wing and Components business units of the Defence Aviation Repair Agency (DARA).
  • MTR Laing: Advising on transfer aspects of MTR Laing's successful bid for the London Overground passenger rail franchise.
  • Pension Protection Fund: Advising on the issue of equity to the Pension Protection Fund on the restructuring of Ennstone, and sale of Aquascutum to the management of Jaeger.
  • Russian Bank: Advising on US$50 million (approx) equity investment in Jersey holding company of Russian industrial group.
  • Serco NedRail: Advising on mobilisation aspects of Serco NedRail's successful bid for the Northern passenger rail franchise.
  • Telkom Kenya: Advising on the privatisation of Telkom Kenya, which involved the US$390 million sale of a 51 per cent stake to a France Telecom-led consortium.
